Terms of Service

1. Acceptance of Terms

By accessing or using the Cognivia platform, your institution agrees to be bound by these Terms of Service and all applicable laws. If you are entering into this agreement on behalf of an institution, you represent that you have authority to do so.

2. Services

Cognivia provides a cloud-based institution management platform including but not limited to: student management, attendance, fee collection, learning management, examination management, and analytics. The specific modules available depend on the subscription plan agreed upon in your contract.

3. Institution Responsibilities

Institutions are responsible for: (a) ensuring data entered into the platform is accurate; (b) maintaining the confidentiality of admin credentials; (c) obtaining necessary consents from students and parents for data processing; and (d) complying with applicable education regulations in their jurisdiction.

4. Uptime & SLA

Cognivia commits to 99.9% platform availability, measured monthly, excluding scheduled maintenance windows communicated at least 48 hours in advance. Service credits apply for SLA breaches as defined in your Master Services Agreement.

5. Intellectual Property

Cognivia retains all rights to the platform software. Institutions retain ownership of all data uploaded to the platform. Neither party may use the other's intellectual property without prior written consent.

6. Termination

Either party may terminate with 30 days' written notice. Upon termination, institutions have 90 days to export their data. Cognivia will permanently delete all institution data after this period, subject to any legal retention obligations.

7. Governing Law

These terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra. For enterprise clients, alternative dispute resolution via arbitration may be specified in the MSA.
